Private Placements

We seek to match the requirements of our clients to those of the capital markets, and to do so in a highly disciplined way. We not only evaluate our client's current capital requirements, but also examine the entire capital structure of the company in order to determine whether a more efficient capital structure may be available. We analyze the cost of each structural alternative and in light of any potential loss of financial flexibility. After the optimum capital structure is determined, we prepare a detailed offering memorandum, contact potential investors, arrange necessary meetings, assist in all aspects of structuring and negotiating the transaction and coordinate the closing documentation.
